3. Client Responsibilities

When engaging our Services, you agree to:

• Provide accurate and complete information about your project requirements
• Respond to requests for information, feedback, and approvals in a timely manner
• Ensure you have the rights to any content, data, or materials you provide to us
• Make payments according to the agreed-upon schedule
• Designate a primary point of contact for project communications

4. Intellectual Property

4.1 Client Materials

You retain ownership of all materials, content, and intellectual property you provide to us. You grant us a limited license to use these materials solely for the purpose of delivering the Services.

4.2 Deliverables

Unless otherwise specified in the SOW, upon full payment, you will own all custom work product created specifically for your project. This excludes any pre-existing materials, third-party components, or our proprietary tools and frameworks.

4.3 Portfolio Rights

Unless otherwise agreed in writing, we retain the right to display completed work in our portfolio and marketing materials, including case studies and project descriptions.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, technical specifications, and unpublished work. Confidentiality obligations survive the termination of our relationship.

6. Payment Terms

Payment terms will be specified in the SOW. Generally:

• A deposit is required before work begins
• Invoices are due within 15 days of receipt
• Late payments may incur interest charges
• We reserve the right to pause work if payments are overdue

7. Project Changes

Changes to project scope, timeline, or requirements after the SOW is signed may result in additional costs and timeline adjustments. All changes must be documented in writing and approved by both parties.

8. Warranties and Disclaimers

We warrant that our Services will be performed in a professional manner consistent with industry standards. However:

• We do not guarantee specific business outcomes or results
• Third-party integrations and APIs are subject to their own terms and availability
• Our Site is provided "as is" without warranties of any kind

9. Limitation of Liability

To the maximum extent permitted by law, Ghost Savvy Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim shall not exceed the amount paid for the Services giving rise to the claim.

10. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination:

• Client shall pay for all work completed through the termination date
• We will deliver all completed work product
• Both parties will return or destroy confidential information

11. Website Use

When using our Site, you agree not to:

• Attempt to gain unauthorized access to our systems
• Use automated tools to scrape or collect data
• Transmit malicious code or interfere with Site functionality
• Use the Site for any illegal purpose

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of San Francisco County, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated effective date. Continued use of our Site or Services after changes constitutes acceptance of the modified Terms.
